Terms of Service

1. Agreement to Terms

By accessing or using Jua OS (the "Service"), including the owner dashboard at app.juaos.com, the cashier application at pos.juaos.com, and all related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

"We," "us," and "our" refer to Jua OS and its operators. "You" and "your" refer to the individual or business entity using the Service.

2. Description of Service

Jua OS is a business management platform designed for small and medium enterprises in Africa. The Service provides point-of-sale functionality, inventory tracking, sales analytics, staff management, and business intelligence tools. The Service operates offline-first — core functionality works without an internet connection, with data synchronised when connectivity is restored.

The Service consists of two primary applications:

  • Owner Dashboard — for business owners to monitor sales, manage staff, view analytics, and configure settings.
  • Cashier App — for cashiers and staff to process sales, manage inventory, and serve customers.

3. Account Registration

To use the Service as a business owner, you must create an account by providing accurate and complete information including your business name, contact details, and a secure PIN. You are responsible for:

  • Maintaining the confidentiality of your account credentials, including your PIN.
  • All activities that occur under your account or any cashier accounts you create.
  • Notifying us immediately of any unauthorised use of your account.
  • Ensuring that all information provided during registration is accurate, current, and complete.

You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account. By creating an account on behalf of a business, you represent that you have the authority to bind that business to these Terms.

4. Subscription Plans and Payments

Jua OS offers multiple subscription plans including free, paid monthly, and paid annual options. Plan details, pricing, and feature availability are described on our pricing page and may change from time to time with reasonable notice.

4.1 Free Trial

New accounts receive a 21-day free trial with access to Basic plan features. No payment information is required to start a trial. At the end of the trial period, your account will revert to the Free plan unless you subscribe to a paid plan.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis, as selected at checkout. All prices are quoted in Nigerian Naira (₦) unless otherwise specified. Payments are processed through Flutterwave, a licensed third-party payment processor. We do not store your card details.

4.3 Refund Policy

Subscription payments are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us within 7 days of the charge and we will investigate.

4.4 Subscription Lapse

If your subscription lapses (payment not received), a 7-day grace period begins during which all features remain available. After the grace period, your account enters restricted mode — the cashier app continues to function for sales, but dashboard features and analytics are limited. No data is deleted during a lapsed period.

5. Your Data

You retain full ownership of all business data you enter into Jua OS, including sales records, product catalogues, customer information, and event logs. We do not sell, share, or monetise your business data.

5.1 Data Storage

Your data is stored on secure servers hosted within the European Union (Frankfurt, Germany). The cashier app also stores data locally on the device for offline functionality. Local data is synchronised with our servers when an internet connection is available.

5.2 Data Retention

We retain your data for as long as your account is active. If you delete your account, we will delete your data within 30 days, except where we are required by law to retain it for a longer period (for example, billing records may be retained for up to 7 years for tax compliance).

5.3 Data Portability

You may request an export of your data at any time by contacting us. We will provide your data in a commonly used format within 14 business days.

6. Acceptable Use

You agree to use the Service only for lawful business purposes. You must not:

  • Use the Service to process transactions for illegal goods or services.
  • Attempt to gain unauthorised access to any part of the Service, other accounts, or systems connected to the Service.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to transmit viruses, malware, or other malicious code.
  • Resell, sublicense, or redistribute the Service without our prior written consent.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated scripts or bots to access the Service without our permission.

We reserve the right to suspend or terminate your account if we reasonably believe you are violating these Terms.

7. Staff Accounts and Responsibility

As a business owner using Jua OS, you may create cashier accounts for your staff using invite codes. You are responsible for:

  • Managing the access and permissions of all cashier accounts linked to your shop.
  • Revoking access when a staff member leaves your employment.
  • All actions taken by your staff through the Service, including sales, refunds, and stock adjustments.

Jua OS provides event logging and suspicion flags as tools to help you monitor staff activity. These tools are advisory and do not constitute proof of misconduct. Employment decisions remain your sole responsibility.

8. Offline Functionality

The cashier app is designed to function without an internet connection. Sales, inventory changes, and events are stored locally on the device and synchronised with our servers when connectivity is restored. We make reasonable efforts to ensure data integrity during synchronisation, but we do not guarantee zero data loss in extreme circumstances (for example, if a device is destroyed before synchronisation occurs).

It is your responsibility to ensure that devices used with Jua OS are kept charged, functional, and connected to the internet periodically to allow synchronisation.

9. Service Availability

We aim to keep the Service available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice where possible).
  • Unplanned outages or technical failures.
  • Events outside our reasonable control (force majeure).

Because the cashier app works offline, sales processing continues even during server outages. Dashboard and analytics features require an internet connection.

10. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Jua OS and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

You retain ownership of your business data (see Section 5). By using the Service, you grant us a limited licence to process, store, and display your data solely for the purpose of providing the Service to you.

11. Limitation of Liability

To the fullest extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
  • We do not warrant that the Service will be error-free, uninterrupted, or free from security vulnerabilities.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity.
  • Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or wilful misconduct.

12. Indemnification

You agree to indemnify and hold harmless Jua OS, its operators, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Any dispute between you and your employees or customers relating to data or transactions processed through the Service.

13. Termination

You may stop using the Service at any time. You may delete your account by contacting us.

We may suspend or terminate your account at any time if:

  • You breach these Terms.
  • Your subscription payment fails and remains unpaid beyond the grace period.
  • We are required to do so by law.
  • We discontinue the Service (with reasonable notice).

Upon termination, your right to use the Service ceases. We will retain your data for 30 days after termination to allow you to request an export. After 30 days, your data will be permanently deleted unless retention is required by law.

14. Changes to These Terms

We may update these Terms from time to time. When we make significant changes, we will notify you by email or through a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Minor changes (such as correcting typographical errors or clarifying existing provisions) may be made without advance notice.

15. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of the Service shall be resolved first through good-faith negotiation. If negotiation fails, disputes shall be submitted to the courts of Lagos State, Nigeria.

If you are based outside Nigeria, you agree that the laws of Nigeria shall still apply to these Terms, and you submit to the jurisdiction of the courts of Lagos State for the resolution of any disputes.

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Jua OS regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.

17.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Language

These Terms are written in English. If translated into any other language, the English version shall prevail in the event of any inconsistency.
